Terms of Submission ------------------- By submitting your graphic, tutorial, action, or other submission (the "Materials") you: - Grant to ScreamDesign a non-exclusive, royalty-free, worldwide, perpetual license, with the right to sub-license, to reproduce, distribute, transmit, create derivative works of, publicly display and publicly perform any materials and other information (including, without limitation, ideas contained therein for new or improved products and services) you submit to any public areas of the Site (such as bulletin boards, forums and suggestions) or by email to ScreamDesign by all means and in any media now known or hereafter developed; - grant to ScreamDesign the right to use your name in connection with the submitted materials and other information as well as in connection with all advertising, marketing, and promotional material related thereto; - agree that you shall have no recourse against ScreamDesign for any alleged or actual infringement or misappropriation of any proprietary right in your communications to ScreamDesign; - represent and warrant that you are the copyright holder of the Materials and have the right to grant ScreamDesign the rights set forth in paragraph 1; - represent and warrant that you have acquired all necessary rights to grant ScreamDesign the rights set forth in paragraph 1, if you are not the copyright owner of the Materials; - indemnify, hold harmless and, at ScreamDesign's request, defend ScreamDesign and its respective affiliates, directors, officers, employees, agents and independent contractors from and against all claims, liabilities, damages, losses, and expenses, including but not limited to reasonable attorney's fees and costs of suit, arising out of or in connection with any violation or claimed violation of a third parties' rights arising in whole or in part from ScreamDesign's use of the Materials. ScreamDesign shall use its sole discretion in approving whether the Materials shall be uploaded to the site or not. If ScreamDesign approves the upload of the Materials to the site, ScreamDesign agrees to provide you with a reasonable credit for the work.
